3. Client Eligibility and Account Opening

To become a client of Moorgate, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Complete our Know Your Client (KYC) and onboarding process
  • Provide accurate and complete information during registration
  • Comply with all applicable anti-money laundering (AML) requirements
  • Meet minimum investment thresholds as specified for each service

We reserve the right to refuse service to any individual or entity at our sole discretion.

4. Investment Risks and Disclaimers

All investments involve risk, including the potential loss of principal. Past performance does not guarantee future results. The value of investments and the income from them can go down as well as up, and you may not get back the amount originally invested.

By engaging our services, you acknowledge and accept that:

  • Investment returns are not guaranteed and may fluctuate
  • Market conditions can adversely affect portfolio performance
  • Currency fluctuations may impact international investments
  • Diversification does not eliminate the risk of loss
  • You are responsible for understanding the risks associated with your investments

5. Fees and Charges

Our fee structure is transparent and will be clearly disclosed in your Investment Management Agreement. Fees may include:

  • Management fees based on assets under management (AUM)
  • Performance-based fees where applicable

  • Transaction costs and brokerage fees
  • Third-party fund expenses

Fees are typically deducted from your account quarterly or as specified in your agreement. We reserve the right to modify our fee structure with 30 days' written notice.

6. Client Portal and Account Access

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Using strong passwords and enabling two-factor authentication
  • Keeping your contact information current

We are not liable for any loss or damage arising from your failure to protect your account credentials.

7. Investment Authority and Discretion

By granting us discretionary investment authority, you authorize Moorgate to:

  • Make investment decisions on your behalf without prior consultation
  • Buy, sell, and trade securities within your portfolio
  • Rebalance your portfolio to maintain target allocations
  • Execute transactions through brokers and custodians of our choice
  • Implement tax-loss harvesting strategies where appropriate

All investment decisions will be made in accordance with your stated investment objectives, risk tolerance, and any restrictions you have specified.

8. Reporting and Communications

We will provide you with:

  • Quarterly performance reports and account statements
  • Annual tax documentation as required
  • Real-time portfolio access through our client portal
  • Regular market commentary and investment insights
  • Prompt responses to inquiries during business hours

You agree to review all statements and reports promptly and notify us of any discrepancies within 30 days.

9. Termination

Either party may terminate the agreement with written notice.
